Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Subbox (the “Platform”), operated by Subbox(“we”, “us”, or “our”). By creating an account, subscribing to a club, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. What Subbox is

Subbox is a platform that lets independent businesses (“Sellers”) run their own monthly subscription clubs and lets customers (“Subscribers”) sign up for them. Subbox provides the software; it does not produce, sell, or ship the products offered by Sellers.

Every subscription is a sale between you and the Seller, who is the merchant of record. Payments are processed by Stripe directly to the Seller’s connected Stripe account. The Seller, not Subbox, is responsible for the products, fulfillment, shipping, refunds, customer service, and any representations made on its club page.

2. Eligibility and accounts

  • You must be at least 18 years old, or the age of majority where you live, to use the Platform.
  • You are responsible for the accuracy of the information you provide (including your shipping address) and for keeping your password confidential.
  • You are responsible for all activity that occurs under your account.
  • Notify us promptly at support@subbox.shop if you suspect unauthorized use of your account.

3. Subscriptions, billing, and cancellation

  • Subscriptions are billed on a recurring monthly basis to the payment method you provide at checkout, until cancelled.
  • Prices, plan features, and shipping terms are set by the Seller and are shown on the club’s page at the time you subscribe.
  • You can cancel at any time from your account. Cancellation stops future renewals; unless the Seller states otherwise, it does not retroactively refund the current billing period.
  • Refund, return, and shipping policies are determined by the Seller. Direct refund and delivery questions to the Seller.

4. Seller responsibilities

If you use the Platform as a Seller, you additionally agree that:

  • You are solely responsible for your products, fulfillment, taxes, and legal compliance.
  • You will connect your own Stripe account and comply with Stripe’s applicable terms; you are the merchant of record for all sales.
  • You will only send marketing email to people who have given consent, will honor unsubscribe requests promptly, and will comply with anti-spam and privacy laws (including the CAN-SPAM Act and applicable state and international laws).
  • You will provide accurate club information and will not use the Platform for any unlawful, infringing, or deceptive purpose.
  • You are responsible for your own privacy practices toward your Subscribers and for any custom domain you connect.

5. Acceptable use

You agree not to:

  • Use the Platform to violate any law or the rights of others;
  • Upload malware, attempt to gain unauthorized access, or disrupt the Platform;
  • Sell or promote prohibited, counterfeit, or unlawful goods;
  • Scrape, resell, or misuse other users’ data.

We may suspend or terminate accounts that violate these Terms.

6. Intellectual property

The Platform software, branding, and design are owned by Subbox. Sellers retain ownership of the content and brand assets they upload, and grant Subbox a limited license to host and display that content for the purpose of operating their club.

7. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted or error-free. Subbox is not responsible for the products, conduct, or content of any Seller.

8. Limitation of liability

To the fullest extent permitted by law, Subbox and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Platform. Our total liability for any claim relating to the Platform will not exceed the greater of the amount of platform fees we received from the transaction giving rise to the claim or USD $100.

9. Indemnification

You agree to indemnify and hold harmless Subbox from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Platform, your content, your products (if you are a Seller), or your violation of these Terms or applicable law.

10. Changes to the Platform and these Terms

We may modify the Platform or these Terms at any time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Continued use after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located there for any dispute that is not subject to arbitration or small-claims resolution.
